ELIGIBILITY

Participation in the Promotion is open to legal residents of the 50 United States and the District of Columbia (excluding Puerto Rico, Samoa, Guam, the US Virgin Islands and any other U.S. territories and protectorates), who, at the time of entry, are at least eighteen (18) years of age or the Age of Majority in their state of residence, whichever is later, and have internet access. Employees of Sponsor or its affiliates and subsidiaries, participating advertising and promotion agencies, prize suppliers and partners, and members of their immediate family and/or those living in the same household of each, are not eligible. Each entrant is eligible to win a maximum of one (1) prize in the Promotion. In order to be eligible, entrants must follow these Official Rules. Failure to comply with these Official Rules will result in disqualification of an entrant.

HOW TO ENTER: (Sweepstakes)

Entrants can enter the Promotion during the Entry Period by either 1) “Liking” the THX Facebook page and taking the School Your System Sweepstakes quiz accessible through the Promotion tab on the THX Facebook page, https://www.facebook.com/thxltd/app_166013376782265 or 2) completing the Entry Form available on the THX website at www.thx.com, to be entered into a random drawing to win a Prize. LIMIT: one (1) entry per person, regardless of the method of entry used. Subsequent entries will be void upon discovery. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed, or similar methods will be void. Entrants are not required to remain a “fan” of the THX Facebook page in order to be eligible to win the Promotion and may “Unlike” the THX Facebook page immediately after registration.

Drawing: On or about one day following the close of the Entry Period, Sponsor will conduct a random drawing from among all eligible entries received during the Entry Period to select the name(s) of the number of 5 potential winner(s) for the Promotion. Subject to verification and compliance with these Official Rules, Winner(s) will be announced online at Sponsor’s website at www.thx.com and Sponsor’s Facebook page at www.facebook.com/thxltd following the conclusion of the Promotion. Sponsor’s decisions are final with respect to all aspects of the Promotion. ODDS OF WINNING DEPEND ON THE NUMBER OF ELIGIBLE ENTRIES RECEIVED.

NOTIFICATION

Sponsor shall notify potential Winner(s) by email within seven (7) calendar days after selection. All potential winners may be required to complete and return an Affidavit of Eligibility and Liability Release, including tax reporting information, proof of residency and valid identification, within ten (10) calendar days of notification. If after a reasonable number of attempts contact has not been made, or if any prize notification is returned as undeliverable, or if a potential winner declines the prize, is deemed ineligible or otherwise fails to meet Sponsor’s requirements, prize will be forfeited and an alternate Winner will be selected from the remaining entries according to the applicable criteria for the Promotion. In case of a dispute related to the identity of an entry, the entry will be deemed made by the authorized account holder of the username which made the entry. The “authorized account holder” is that person or entity who is assigned the username. Potential winners may be required to provide credible evidence to prove that the potential winner is an “authorized account holder” of the account associated with the winning entry.

PRIZE(S)

One (1) Grand Prize Winner will be awarded a THX Certified TiVo Premiere XL4 DVR (worth an approximate retail value of $399.99) and one year of free TiVo service (worth an approximate retail value of $180).

Four (4) Winners will each be awarded one (1) copy of the THX tune-up™ app for iOS, THX t-shirt, THX hat, THX notebook and pen, and Tex doll (worth a total approximate retail value of $45).

The value of the prize(s) set forth above represents Sponsor’s good faith determination of the approximate retail value thereof, and the actual fair market value, as ultimately determined by Sponsor, is final and binding and cannot be challenged or appealed. In the event the stated approximate retail value of a prize is more than the actual fair market value of that prize, the difference will not be awarded in cash or otherwise. Prizes are not transferable. No substitutions or cash redemptions are allowed except at the sole discretion of the Sponsor. Sponsor reserves the right to substitute the prize with another prize of equal or greater approximate value due to prize unavailability. The Winner is responsible for paying any applicable income taxes and any other costs and expenses not listed above. Winner acknowledges that the Promotion Entities (defined below) do not make, nor are in any manner responsible for any warranty, representations, express or implied, in fact or in law, relating to the quality, conditions, fitness or merchantability of any aspect of the Promotion or the Prize. All prizes are awarded AS IS. Sponsor is not responsible for any installation, maintenance, or repair costs associated with the Winner’s use of the Prize.

FULFILLMENT

The prizes will be delivered 6-8 weeks after Sponsor’s receipt of all required documents from the Winner. Prizes returned as undeliverable will not be reshipped and will be considered fulfilled and finalized for the purpose of awarding the prize in the Promotion.

GENERAL CONDITIONS

By participating in the Promotion, you agree to be bound by these Official Rules, any applicable Facebook policies and procedures, any notices posted online in connection with the Promotion, Sponsor’s decisions and interpretations of these Official Rules, and decisions of the judges, which will be final. You further represent and warrant that, based on the Official Rules, you are eligible to participate in the Promotion and that the information you provide is accurate.

Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Promotion or the operation of Sponsor’s websites or Facebook sites; violates these Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor may, to the maximum extent permitted by applicable law and in its sole discretion, change these rules or cancel the Promotion at any time; or modify, terminate, or suspend the Promotion should viruses, worms, bugs, unauthorized human intervention, fraud, technical failures, or other causes beyond its control corrupt or impair the administration, security, fairness or proper play of the Promotion or submission of entries and/or fan voting, where applicable. In the event that the Promotion is cancelled or terminated prior to the stated end date, Sponsor may, in its sole discretion, select a potential Winner or Winner(s) from among all eligible, salvageable, and non-suspect Entries and/or votes received prior to the time of the event warranting such cancellation or termination. PUBLICITY

By participating in the Promotion and/or accepting the Prize, each entrant irrevocably gives permission (and agrees to confirm this permission in writing) to Sponsor to publish his or her name and state of residence in any announcement by Sponsor of the Promotion Winner, in any and all media including but not limited Sponsor’s Facebook page, Twitter feed, THX.com website, and if requested as below, without further compensation or notice.

Limitations Of Liability/ Release/ Disputes

All participants acknowledge that Sponsor, Facebook, any promotion administrators, and each of their respective franchisees, parents, affiliates, subsidiaries, members, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this Promotion, and each of these companies’ officers, directors, shareholder, representatives, agents, and employees (collectively, the “Promotion Entities”) are not responsible for and shall not be liable for: (i) entries or votes that are lost, misdirected, unintelligible, corrupted, incomplete, late, otherwise not in compliance with these rules; (ii) any act, failure to act, delay, or error relating to the transmitting or processing of entries or votes; (iii) telecommunications network, phone system, computer system, hardware, or software malfunctions, failure, disconnection, data loss, or other difficulties of any kind, including any injury or damage to an entrant’s or other person’s computer related to or resulting from participating in the Promotion, or accessing or downloading materials relating to the Promotion; (iv) any conditions caused by events beyond the control of the Promotion Entities that may cause the Promotion to be disrupted or corrupted; (v) any losses, injuries, or damages of any kind resulting directly or indirectly from acceptance, use, or misuse of any prize or prize-related activity; or (vi) any printing or typographical errors in any materials relating to the Promotion.

WINNERS LIST

For the results, send a self-addressed, stamped envelope to “THX Ltd., 1600 Los Gamos Dr., Suite 130, San Rafael, CA 94903: ATTN Promotion Winners List.” All requests must be received within two months after the end of the Promotion, and identify the Promotion in the request. VT residents may omit return postage. The Winners’ names may also be posted on Sponsor’s website and/or Facebook page.

1.1. Governing Agreement

The terms of this agreement (“Terms of Service” or “Terms”) govern the relationship between you and THX Ltd. (hereinafter “THX” or “Us” or “We”) regarding your use of THX’s THX tuneup™ mobile application and related services (the “Service”). In this agreement, “THX” means THX Ltd. located at 1600 Los Gamos Drive, Suite 130, San Rafael, California 94903.
This Terms of Service is concluded between you and THX only, and not with Apple Inc., and THX, not Apple Inc., is solely responsible for the Service and the content thereof.

1.2. Privacy Policy

Use of the Service is also governed by THX’s Privacy Policy, which can be found at http://www.thx.com/company-resources/thx-privacy-policy/ and is incorporated herein by reference. Your privacy is important to Us. We designed THX’s Privacy Policy to make important disclosures about how We collect and use your content and information and how you can use the Service to share such information with others. We encourage you to read the THX Privacy Policy carefully and use it to make informed decisions.

By creating an account or accessing or using the Service you accept and agree to be bound by these Terms of Service and consent to the collection, use and storage of your information as outlined in THX’s Privacy Policy.

1.3. Updates to the Terms of Service

THX reserves the right, at our discretion, to change, modify, add or remove portions of these Terms of Service at any time by posting the amended Terms on or within the Service. You may also be given additional notice, such as an e-mail message or messaging within the Service, of any changes. You will be deemed to have accepted such changes by continuing to use the Service. Except as otherwise stated, all amended terms shall automatically be effective 30 days after they are initially posted. THX may also revise other policies, codes or rules at any time, and the new versions will be available at www.THX.com or in the Service. No amendment to the Terms of Service shall apply to any dispute of which THX had actual notice before the date of the amendment. Changes to the Terms of Service will always be prospective, not retroactive.

This agreement may not be otherwise amended except in a writing hand signed by you and Us. For purposes of this provision, “writing” does not include an e-mail message and a signature does not include an electronic signature.

If at any point you do not agree to any portion of the then-current version of our Terms of Service relating to your use of the Service, your license to use the Service shall immediately terminate and you must immediately stop using the Service.

To the extent the Terms of Service conflict with any other THX terms, policy, rules or codes of conduct, the terms contained in these Terms of Service shall govern.

1.4. Grant of a Limited License to Use the Service

Subject to your agreement and continuing compliance with these Terms of Service and any other relevant THX policies, THX grants you a non-exclusive, non-transferable, revocable limited license subject to the limitations in Sections 1.7 to access and use the Service on an iOS Product that you own or control solely for your own non-commercial entertainment purposes and as permitted by the Usage Rules set forth in the Apple Inc. App Store Terms of Service. You agree not to use the Service for any other purpose.

1.5. Accessing the Service

By accessing or using the Service, you accept and agree to these Terms of Service. You warrant that you are not prohibited from receiving products of U.S. origin, including services or software.

You must provide all equipment and software necessary to connect to the Service, including, but not limited to, a mobile device that is suitable to connect with and use the Service.
You are responsible for any fees, including internet connection or mobile fees that you incur when accessing the Service.

1.6. Account Information

When downloading or using Service, you may be requested or required to provide THX with certain personal information, which may include your name, zip code, e-mail address, home theater equipment and payment information. This information will be held and used in accordance with THX’s Privacy Policy and relevant notices, if any, provided at the point of information collection or use. You agree that you will supply accurate and complete information to THX.

1.7. License Limitations

Any use of the Service in violation of these License Limitations is strictly prohibited, can result in the immediate revocation of your limited license granted by Section 1.4, and may subject you to liability for violations of law. ANY ATTEMPT BY YOU TO DISRUPT OR INTERFERE WITH THE SERVICE IS A VIOLATION OF THESE TERMS AND MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.

You agree that you will not, under any circumstances:

• a. Create an Account or access the Service if you are under the age of 18;
• b. Use the Service if you are located in a country embargoed by the United States or that has been designated by the U.S. Government as a “terrorist supporting” country;
• c. Use the Service if you are on the U.S. Treasury Department’s list of Specially Designated Nationals or any other U.S. Government list of prohibited or restricted parties;
• d. Use the Service for commercial purposes;
• e. Use your Account to advertise, solicit, or transmit any commercial advertisements, including chain letters, junk e-mail or repetitive messages (spim and spam) to anyone;
• f. Use your Account to engage in any illegal conduct;
• g. Sublicense, rent, lease, sell, trade, gift, bequeath or otherwise transfer your Account to anyone without THX’s written permission; and
• h. Access or use an Account that has been sublicensed, rented, leased, sold, traded, gifted, bequeathed, or otherwise transferred from the original Account creator without THX’s permission.

You agree that you will not, under any circumstances:

• i. Engage in any act that THX deems to be in conflict with the spirit or intent of the Service, including but not limited to circumventing or manipulating these Terms or our policies;
• j. Make improper use of THX’s support services, including by submitting false abuse reports or using profane and abusive language in your communications with our support personnel; or
• k. Use the Service, intentionally or unintentionally, in connection with any violation of any applicable law or regulation, or do anything that promotes the violation of any applicable law or regulation;
• l. Without THX’s express written consent, modify or cause to be modified any files that are a part of the Service;
• m. Institute, assist or become involved in any type of attack, including without limitation distribution of a virus, denial of service attacks upon the Service, or other attempts to disrupt the Service or any other person’s use or enjoyment of the Service; or
• n. Attempt to gain unauthorized access to the Service, Accounts registered to others or to the computers, Servers, or networks connected to the Service by any means other than the user interface provided by THX, including but not limited to, by circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person to circumvent or modify, any security, technology, device, or software that is part of the Service;

OFFENSIVE OR INFRINGING CONTENT – You agree that you will not, under any circumstances:

• o. Attempt to, or harass, abuse, or harm, or advocate or incite harassment, abuse or harm of another person, group, including THX employees, including THX’s customer service representatives; or
• p. Make available through the Service any material or information that infringes any copyright, trademark, patent, trade secret, right of privacy, right of publicity, or other right of any person or entity or impersonates any other person, including without limitation a THX employee;

COMMERCIAL ACTIVITY – You agree that you will not, under any circumstances:

• q. Without THX’s express written consent, use the Service or any part thereof for any commercial purpose;
• r. Transmit unauthorized communications through the Service, including junk mail, chain letters, spam and any materials that promote malware, spyware and downloadable items;

UNAUTHORIZED USE OR CONNECTION TO THE SERVICE – You agree that you will not, under any circumstances:

• s. Interfere or attempt to interfere with the proper functioning of the Service or connect to or use the Service in any way not expressly permitted by these Terms of Service;
• t. Use any unauthorized third party software that accesses, intercepts, “mines”, or otherwise collects information from or through the Service or that is in transit from or to the Service. THX may, at its sole and absolute discretion, allow the use of certain third party user interfaces;
• u. Intercept, examine or otherwise observe any proprietary communications protocol used by a client, a Server, or the Service, whether through the use of a network analyzer, packet sniffer or other device;
• v. Make any automated use of the system, or take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
• w. Bypass any robot exclusion headers or other measures We employ to restrict access to the service or use any software, technology, or device to send content or messages, scrape, spider, or crawl the Service, or harvest or manipulate data;
• x. Use, facilitate, create, or maintain any unauthorized connection to the Service, including without limitation (1) any connection to any unauthorized server that emulates, or attempts to emulate any part of the Service; or (2) any connection using programs, tools, or software not expressly approved by THX;
• y. Except where permitted by law or relevant open source licenses, reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying software or other intellectual property used to provide the Service, or to obtain any information from the Service using any method not expressly permitted by THX; or
• z. Copy, modify or distribute rights or content or THX’s copyrights or trademarks or use any method to copy or distribute the content of the Service except as specifically allowed in these Terms of Service;

COLLECTION AND PUBLICATION OF PERSONAL INFORMATION – You agree that you will not, under any circumstances:

• aa. Solicit or attempt to solicit personal information from other users of the Service;
• bb. Collect, harvest or post anyone’s private information, including personally identifiable information (whether in text, image or video form), identification documents, or financial information through the Service; or
• cc. upload or transmit or attempt to upload or transmit, without THX’s express permission, any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies or other similar devices (sometimes referred to as “spyware,” “passive collection mechanisms” or “pcms”).

1.8. Suspension and Termination of Account and Service

THX reserves the right to stop offering and/or supporting the Service or part of the Service at any time either permanently or temporarily, at which point your license to use the Service or a part thereof will be automatically terminated or suspended. In such event, THX shall not be required to provide refunds, benefits or other compensation to users in connection with such discontinued elements of the Service.

Apple Inc. has no obligation whatsoever to furnish any maintenance and support services with respect to the Service.

1.9.1. Patterns, Photographs and Service

The Service (including without limitation any computer code, artwork, audio-visual effects, server software, patterns, trailers, audio files, photographs) are copyrighted works and/or trademarks owned or licensed by THX Ltd. THX reserves all rights, including without limitation, all intellectual property rights or other proprietary rights, in connection with the Service.

1.9.2. Accounts

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, YOU ACKNOWLEDGE AND AGREE THAT YOU SHALL HAVE NO OWNERSHIP OR OTHER PROPERTY INTEREST IN AN ACCOUNT, AND YOU FURTHER ACKNOWLEDGE AND AGREE THAT ALL RIGHTS IN AND TO AN ACCOUNT ARE AND SHALL FOREVER BE OWNED BY AND INURE TO THE BENEFIT OF THX.
THX owns, has licensed, or otherwise has rights to use all of the content that appears in the Service.

2. DISCLOSURE

Your information, and the contents of all of your online communications (including without limitation, IP addresses and your personal information) may be accessed and monitored as necessary to provide the Service and may be disclosed: (i) when We have a good faith belief that We are required to disclose the information in response to legal process (for example, a court order, search warrant or subpoena); (ii) to satisfy any applicable laws or regulations (iii) where We believe that the Service is being used in the commission of a crime, including to report such criminal activity or to exchange information with other companies and organizations for the purposes of fraud protection and credit risk reduction; (iv) when We have a good faith belief that there is an emergency that poses a threat to the health and/or safety of you, another person or the public generally; and (v) in order to protect the rights or property of THX, including to enforce our Terms of Service. 3. PAYMENT OF FEES

You agree to pay all fees and applicable taxes incurred by you to download and use the Service. YOU ACKNOWLEDGE THAT THX IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION WHEN AN ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.

4. THIRD PARTY TERMS OF AGREEMENT

4.1. Third Party Beneficiary.

You acknowledge and agree that Apple Inc., and Apple Inc.’s subsidiaries, are third party beneficiaries of the Terms of Service, and that, upon your acceptance of these Terms of Service, Apple Inc. will have the right (and will be deemed to have accepted the right) to enforce the Terms of Service against you as a third party beneficiary thereof.

4.2. Third Party Notices.

Portions of the Services may utilize or include third party software and other copyrighted material. Acknowledgements, licensing terms and disclaimers for such material are contained in the electronic documentation for such third party software and other copyrighted material, and your use of such material is governed by their respective terms and you must comply with applicable third party terms of agreement when using the Service.

4.3. Third Party Advertisements

You understand that the Service may feature advertisements from THX or third parties.

4.4. Links to Third Party Sites and Dealings With Advertisers

THX may provide links on the Service to third party websites or vendors who may offer goods or services for sale. Any charges or obligations you incur in your dealings with these third parties are your responsibility. THX makes no representation or warranty regarding any content, goods and/or services provided by any third party even if linked to from our Service, and will not be liable for any claim relating to any third party content, goods and/or services. The linked sites are not under the control of THX and may collect data or solicit personal information from you. THX is not responsible for their content, business practices or privacy policies, or for the collection, use or disclosure of any information those sites may collect. Further, the inclusion of any link does not imply endorsement by THX of these linked sites.

5. UPDATES TO THE SERVICE

You understand that the Service is an evolving one. THX may require that you accept updates to the Service you have installed on your computer or mobile device. You acknowledge and agree that THX may update the Service with or without notifying you. You may need to update third party software from time to time in order to receive the Service.

You agree to indemnify, save, and hold THX, its affiliated companies, contractors, employees, agents and its third-party suppliers, licensors, and partners harmless from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Service, any violation by you of these Terms of Service, or any breach of the representations, warranties, and covenants made by you herein. THX reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify THX, and you agree to cooperate with THX’s defense of these claims. THX will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
You agree that the provisions in this paragraph will survive any termination of your Account(s) or of the Service.

7. DISPUTE RESOLUTION

7.1. General

If a dispute arises between you and THX, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and THX agree that We will resolve any claim or controversy at law or equity that arises out of this Agreement or the Service (a “Claim”) in accordance with one of the subsections below or as We and you otherwise agree in writing. Before resorting to these alternatives, We strongly encourage you to first contact Us directly to seek a resolution by going to Customer Support. THX Customer Support can be reached at tuneupsupport@thx.com and (415) 492-3961 with any questions, complaints, or claims with respect to the Service. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

7.2. Law and Forum for Legal Disputes

This Agreement and any dispute arising out of or related to it or the Service shall be governed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against THX must be resolved exclusively by a state or federal court located in San Francisco County, California, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within San Francisco County, California for the purpose of litigating all such claims or disputes.

8. GENERAL PROVISIONS

8.1. Assignment

THX may assign or delegate these Terms of Service, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under the Terms of Service without THX’s prior written consent, and any unauthorized assignment and delegation by you is void and ineffective.

8.2. Supplemental Policies

THX may publish additional policies related to specific services such as applications for mobile devices, forums, contests or loyalty programs. Your right to use such services is subject to those specific policies and these Terms of Service.

8.3. Entire Agreement

These Terms of Service, any supplemental policies and any documents expressly incorporated by reference herein, contain the entire understanding of you and THX, and supersede all prior understandings of the parties hereto relating to the subject matter hereof, whether electronic, oral or written, or whether established by custom, practice, policy or precedent, between you and Us with respect to the Service.

8.4. Severability

You and THX agree that if any portion of these Terms of Service is found illegal or unenforceable, in whole or in part by any court of competent jurisdiction, such provision shall, as to such jurisdiction, be ineffective solely to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of the Terms, which shall continue to be in full force and effect.

8.5. Language of the Terms of Service

If We provide you with a translation of the English language version of these Terms of Service or any other policy (collectively “THX Policies”), then you agree that the translation is provided for informational purposes only and does not modify the English language version of the THX Policies.
In the event of a conflict between a translation of the THX Policies and the English version, the English version of the THX Policies will control.

8.6. No Waiver

The failure of THX to require or enforce strict performance by you of any provision of these Terms of Service or failure to exercise any right under them shall not be construed as a waiver or relinquishment of THX’s right to assert or rely upon any such provision or right in that or any other instance.

The express waiver by THX of any provision, condition, or requirement of these Terms of Service shall not constitute a waiver of any future obligation to comply with such provision, condition or requirement.

Except as expressly and specifically set forth in this these Terms of Service, no representations, statements, consents, waivers, or other acts or omissions by THX shall be deemed a modification of these Terms of Service nor be legally binding, unless documented in physical writing, hand signed by You and a duly appointed officer of THX.

8.7. Notices

We may notify you via postings on www.THX.com, and via e-mail or any other communications means to contact information you provide to Us. All notices given by you or required from you under these Terms of Service shall be in writing and addressed to: THX Ltd., Attn: LEGAL DEPARTMENT, 1600 Los Gamos Drive, Suite 130, San Rafael, CA 94903.
Any notices that you provide without compliance with this Section on Notices shall have no legal effect.

8.8. Equitable Remedies

You acknowledge that the rights granted and obligations made under these Terms of Service to THX are of a unique and irreplaceable nature, the loss of which shall irreparably harm THX and which cannot be replaced by monetary damages alone. Accordingly, THX shall be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety or proof of damages) in the event of any breach or anticipatory breach by you.

You irrevocably waive all rights to seek injunctive or other equitable relief, or to enjoin or restrain the operation of the Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Service or any content or other material used or displayed through the Service and agree to limit your claims to claims for monetary damages, limited by Section 6.2 (if any).

8.9. Force Majeure

THX shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of THX, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond THX’s control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

1. When connecting my iDevice with Apple TV, why are the pictures and adjustments patterns not appearing on my TV?

Make sure that you have set the Apple TV to “Mirroring”. THX tune-up uses both your mobile device screen and your HDTV screen, making this an interactive 2nd screen application. 

The setting for mirroring can be found by double clicking the home button on your iPhone/iPad. Then scroll to the far left and you will see the icon. You can then select AirPlay, Apple TV, with Mirroring set to “ON.” The set up screen should look something like this:

2. I’m using my iPhone 4 and Apple TV, but I cannot see anything on my television. What can I do?

THX tune-up does not work with the iPhone 4 and Apple TV. You must have a Digital AV Adapter and connect via HDMI with your iPhone 4 in order to see the images on your television.

3. How do I set up my Apple TV (3rd Generation) so I can see all videos, adjustment patterns, photos and graphics on my television?

The following set up will give the best results when using your Apple TV:

1. Connect your Apple TV:

Use an HDMI cable to connect your Apple TV to your AVR or HDTV

2. On your Apple TV select the following settings:

Settings -> Audio & Video:
Select: Dolby Digital: On
Select: AirPlay Overscan: Off

3. On your iOS device,

Connect via AirPlay to your AppleTV
Turn “Mirroring” ON

4. I’m connected with Apple TV (3rd gen). I can see the Get Started movie on my television, but I cannot see the adjustment images in the app. Why?

THX tune-up is a 2 screen application. The Get Started movie is played by the Apple movie player, but you will note when you are connected to the TV, the movie only plays on the TV, you cannot see it on the iPhone or iPad screen.

In order to have the 2 screens simultaneously working for THX tune-up, you must turn Mirroring ON when you connect to Apple TV via AirPlay. Please note, the mobile screen contains user controls for interactivity. On the television only content needed to make the adjustment is displayed, and you control the app from the mobile device.

5. Why do I only see 2 channel speakers in the Sound Adjustments section? I selected a 5.1 setup in the Equipment selection screen. 


For 5.1 speaker assignment and phase adjustments you must do all of the following:

1. Connect with an HDMI cable
2. Select 5.1 Speakers in the Equipment Tab
3. Select HDMI Mobile Connection in the Equipment Tab

6. The Digital AV Adapter with the 30 pin connector keeps falling off my iPhone 4, 4s or iPad 2, 3, 4. What can I do?

OR
 Which cable should I use when I’m connecting my iOS device to my AVR or TV?

Try the following:

1. Use a flexible HDMI cable that is longer than 2m/6ft.
2. Use the 2nd generation Apple Digital AV Adapter – it has a connector lock which doesn’t detach as readily from the phone/tablet and the cable extension on the adapter is a little longer 



The new AV adapter model number is A1422 versus A1388 for the 1st gen. The new part number is MD098ZM/A (MC953ZM/A is the old part number).

7. What is the best length HDMI cable to use?

Use at least a 2 meter (6 feet) cable. Depending on the location of your AVR/HDTV and your optimal/preferred viewing location, you may find that a 3-8 meter (10′-25′) cable may be needed.

8. What audio mode should I set my AVR?

Set your AVR to Direct mode (or “Digital Auto Detect” or equivalent) as this will allow the AVR to process the Dolby Digital (AC3) audio which is used for the 5.1 playback when using a HDMI connection.

9. Where can I find more information about the best setup of my home entertainment system?

You will find many more resources on the THX Educational resources on THX Website at: http://www.thx.com/consumer/home-entertainment/home-theater/

10. How much time should I allow to use the app to set up my home theater?

It will vary, but you should allow 10-30 minutes. You can stop at any time and come back later. Also, because the app is very interactive, you can perform the all of the adjustments or just the adjustments and features that you want without having to complete the entire experience in one use.

11. Why is THX tune-up crashing or not opening when I launch it?


Version 1.0.1 of THX tune-up addresses this issue. If you’ve updated to V1.0.1 and are still experiencing this issue, please tell us the details of your setup and problem by sending an email to tuneupsupport@thx.com with the following information:

1. Model of your iPhone or iPad
2. Version of iOS you are running on your phone/tablet
3. Amount of memory you have available on your device
4. The country where you are located

12. The audio and/or the video stutters or has drop outs when using my Apple TV. 

OR

Why does the audio narration or sound adjustments audio drop in & out on my speakers?


This is usually caused by your Local Area Network (LAN) setup. Apple has an article on how to troubleshoot this issue at http://support.apple.com/kb/TS4215. Note: You will have the best quality audio and video playback by using an HDMI connection.

13. I’m having difficulty holding my iPhone or iPad while using the camera filter and doing the picture adjustments. What can I do?



We acknowledge that this can be tricky. You may find that doing any or all of the following will help.

1. Use a 2nd gen A/V adapter which has a connector lock and doesn’t detach as readily. See Question 6.
2. Use a longer (>= 2m/6ft) flexible HDMI cable.
3. Place the iPad in a stand on the table. It makes it easier to point and can be done with one hand while you are adjusting the TV remote with the other.
4. Install the THX tune-up app on your iPhone and use the camera from there. The iPhone is much easier to hold and is not tethered to the TV/AVR with the HDMI cabling.
5. If you are using a case for your iPhone/iPad, the case may interfere with making a solid connection of the cable. You may need to remove your iPhone/iPad from the case to get a good connection.

14. The HDMI cable disconnected and I reconnected it, but the audio and video is not re-syncing. What should I do?

The app will attempt to re-sync, but you may need to close the application and reopen.

15. When connected to my TV with Apple TV, why are the pictures and adjustments patterns not appearing on my TV?


Make sure that you have set the Apple TV to “Mirroring” to “ON.” See Q4.

16. Why is the audio for the “Get Started” video so low?
OR
Why do I have to turn the volume on my AVR so high to hear the audio narration during the adjustments section?


Your AVR and/or speakers may not be properly configured or connected. For example, if your AVR is set to 5.1 or 7.1 speakers but you only have a 2 speakers (and maybe a subwoofer) connected. Go to the speaker setup menus of your AVR and set the speakers to match your actual configuration.

17. When performing the Tint or Color adjustment, the camera is jerky and doesn’t reflect what is on the TV. What should I do?

Please hold the camera as still as possible when pointing it at the television, wait for it to be displayed on your mobile device, and then make the adjustment. The camera refresh rate is dependent on the speed of your iOS device. This refresh rate is as slow as 1-2 updates per second.

18. When playing the “Get Started” video and my phone is in portrait mode, is there any way to make the video full screen on the TV?

When using a device with iOS 6.0.1 or 6.1, place your iPhone or iPad in landscape to display the video full screen on the TV. for the best display on the TV or Projector when using iOS 6.0.1 or 6.1. When using a device with iOS 5.1.1, the displayed video will always play in full screen, regardless of device orientation (portrait or landscape).

19. I’m connected via VGA or Component. Is there any way to have the “Get Started” video display full screen on the television?

While you can connect to your television via VGA or Component, the video will not be full screen, and the picture quality won’t be the best. For the best performance from your mobile device, connect your device directly to your AVR/HDTV via HDMI with a Digital AV adapter.

20. Why do I not get any audio output in the Sound Adjustments section? I have a 5.1 system.

Ensure that you are connected directly from your device with a HDMI cable to your AVR. If you’ve reported in the Equipment screen that you have HDMI and a 5.1 speaker setup, and are connected via some other means such as AirPlay with AppleTV or an analog connection, no audio will be heard.

21. When will I be able to use THX tune-up to test my 7.1 speaker setup?

This capability may be available in a future release.

THX tune-up™ allows you to properly adjust your TV, projector and speakers, helping you get the most out of your entertainment system.

THX tune-up features custom video test patterns, carefully selected photos and tutorials to help you adjust and confirm the best picture settings on your display based on your room lighting. Using special test sounds, THX tune-up also lets you check your external speakers to make sure they are working in phase and are connected properly for 2-channel stereo or 5.1 surround sound systems.

THX tune-up is completely interactive and you will be able to go through it at your own pace and in any order. Use your iPad 2 (or later) or iPhone 4S (or later) to connect to your display or sound system with an AppleTM Digital AV Adapter and HDMI cable or through a wireless Apple TV. NOTE: 5.1 audio tests are only supported with an HDMI connection.

To get started, locate the adjustment buttons on your television and audio video receiver (AVR) remote controls and then simply follow the THX app tutorials which will walk you through your “THX tune-up.” The app offers tips about your remote control, room lighting, viewing distance and other helpful advice.



Video adjustments

• Aspect ratio – ensure your TV displays shapes and sizes correctly
• Brightness – make certain shadow details and night scenes are clearly visible
• Contrast – confirm white detail is distinct on your television
• Color – make sure colors are bright and vibrant but not cartoonish
• Tint – check skin tones look natural and are not too green or red

THX tune-up uses your iPad or iPhone camera to set color and tint with a special built in color filter. Just point your device camera at the TV screen and see if your color or tint is adjusted correctly.

Audio adjustments

• Speaker assignment – ensure speakers are connected to the correct AVR output and intended sound is coming from the correct speaker
• Speaker phase – confirm that positive and negative speaker wires are connected correctly and all speakers are in phase



Extras

• Turn “moo can” on and tilt the iPhone or iPad to hear your device “moo”
• Play extraordinary THX trailers (just like the ones in THX Certified cinemas) to show off your newly tuned TV and sound system to friends and family
• Show off your audio system with the push of a button by playing “THX Deep Note” in 5.1 surround sound, just like in the theater

Supported devices and iOS versions:

Compatible with iPhone 4 (only with an HDMI cable connection to TV or AVR), iPhone 4S, iPhone 5, iPod touch (4th gen), iPod touch (5th gen), iPad 2 Wi-Fi, iPad 2 Wi-Fi + 3G, iPad (3rd gen), iPad Wi-Fi + 4G, iPad (4th gen), iPad Wi-Fi + Cellular (4th gen), iPad mini and iPad mini Wi-Fi + Cellular. Requires iOS 5.0 or later. This app is optimized for iPhone 5 for use with HDMI adapter to your AVR/HDTV. All of the above devices except iPhone 4 can be used with Airplay Mirroring and Apple TV (3rd gen). 5.1 audio tests are only supported with an HDMI connection.

Connection to TV or AVR:

• HDMI cable (recommend a flexible cable that is at least 2 meters (6 feet) and HDMI Category 2-certified).
• Digital AV Adapter for use with the 30 pin connector on iPad 2 and 3 and the iPhone 4 and 4s. Preference is the second generation of the cable: A1422 (instead of A1388).
• Lightning Digital AV Adapter (for use with iPod Touch  (4th generation), iPhone 5, iPad Mini and iPad 4)
• Apple TV Gen 3 to use the app with a wireless connection (iOS and Apple TV version 5.1.1 or later)

Product Spotlight: Acurus A2007 Seven-Channel Home Theater Amplifier

The Acurus A2007 (add link instead of saying below, for more info, etc.) is the latest addition to the Acurus line of multichannel amplifiers – all of which feature the same low-distortion, fully discrete amplifier designs that made Acurus famous.
